OFACSearch SUBSCRIBER AGREEMENT
Triana Solutions, LLC

The following details the terms of the Agreement between The Triana Solutions, Ltd. ("Triana") and you ("Subscriber") with respect to electronic access via the public Internet to the TRIANA product OFACSearch.com (the "Service") during your subscription.

1.       Subscriber acknowledges that the Service will continue to be enhanced and may be changed substantially. TRIANA may discontinue or revise any and all aspects of the Service at its sole discretion and without prior notice.

2.       The Service will include an e-mail facility for communication between the Subscriber and Triana. Triana encourages Subscriber to provide feedback to TRIANA regarding suggestions and enhancements to the Service. Triana reserves the right to contact Subscriber regarding use and in response to feedback comments. Subscriber may contact TRIANA by e-mail addressed to webmaster@OFACSearch.com, by telephone at (973) 937-0010

3.       All information available through the Service is protected by copyright or other intellectual property laws. Subscriber may not disseminate, sell, publish, broadcast or circulate the information obtained through the Service to anyone, without the express written consent of Triana. Subscriber may display and print information obtained through the Service solely for Subscriber's individual use and for the purpose of regulatory reporting. Subscriber agrees not to use any information obtained through the Service for any unlawful or unauthorized purpose.

4.       Subscriber recognizes that the Service is accessible via the public Internet with an individual password. The password assigned to Subscriber is for its use only and shall not be used by another person or entity, system or assign.

5.       Because of the possibility of human or mechanical error by Triana or its licensers, neither Triana or any of its licensers guarantee the accuracy, adequacy, completeness, timeliness or non-infringement of the service and are not responsible for any errors or omissions, for the results obtained from the use of the service, or for delays or interruptions in the service. There are no express or implied warranties including, without limitation, warranties of merchantability or fitness for a particular purpose or use with respect to the service or any information available through the service. In no event will Triana or any of its licensers be liable for damages, direct, indirect, special or consequential (including lost profits) in connection with the use of the service, even if notified of the possibility of such damages. The sole remedy of subscribers to the service in the event of a breach of this agreement by Triana shall be to terminate this agreement.

6.       In the event of a breach of any of the terms of this Agreement, Triana reserves the right to immediately discontinue Subscriber's access to the Service.

7.       This Agreement shall be governed in all respects in accordance with the laws of the United States of America and the State of New Jersey governing contracts to be wholly entered into and performed within the State of New Jersey.

8.       The terms of this Agreement and all operating rules published over the Service constitute the entire Agreement between Triana and Subscriber with respect to the Service. The Subscriber may not assign any rights or obligations under this Agreement to anyone. By signing this Agreement, the Subscriber agrees to be bound by the terms of the Agreement.

In Witness Whereof, the parties to this Agreement have executed this Agreement as of the date the Subscriber requests access.
